If you want to incorporate (register) a company in Serbia, there is a possibility to do this without your presence in Serbia. The procedure is a bit simpler in case the shareholder of the company is natural, not a legal person, especially in procedure of opening a bank account of limited liability company. This is because when the shareholder of the company is a legal entity it must list the names of all shareholders until the name of the natural person who is the ultimate beneficial owner. The company must register a main activity, director (legal representative) of the company, as well as the company’s seat address.

A foreign company which is planning to setup an office or expand its business in Serbia has several options that may consider for its company structure. In addition to setting up a limited liability company, there are two more ways in which a foreign company may conduct business in Serbia: by registering a branch office in Serbia or by registering a representative office in Serbia.
A branch office of a foreign company is a separate organizational part of the company through which the company operates in the Republic of Serbia. Branch office doesn’t have status of legal entity.
A representative office also doesn’t have status of legal entity and represents a separate organizational unit of a foreign legal entity (company). However, it may provide only preliminary and preparatory actions in order to conclude a legal transaction of foreign legal entity and it may conclude only legal affairs regarding its current business.

INCREASE AND DECREASE OF SHARE CAPITAL OF COMPANY IN SERBIA – BUSINESS LAW OFFICE SERBIA
A minimal share capital of the limited liability company according to Serbian regulations amounts to app. 1 EUR. However, the company in Serbia may in every moment increase its share capital (monetary or non-monetary) that is subject to registration before Business Registers Agency. The monetary share capital is in most cases increased on the basis of payment of monetary contribution to the company as well as on the basis of conversion of receivables to the share capital. On the other hand, the company may decrease a share capital, however, in many cases it must fulfill obligatory provisions related to protection of creditors of the company.
